1. Acceptance of Terms

By accessing, browsing, or using the Ascend Labs website ("Site") and purchasing any products, you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, our Refund & Return Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must immediately discontinue access to and use of the Site.

Your use of this Site constitutes an electronic signature and manifests your intent to be bound by these Terms with the same legal force as a physical signature. You acknowledge that you have had the opportunity to review these Terms, ask questions, and consult with an attorney before agreeing.

2. Research Use Only

All peptides, compounds, and products sold by Ascend Labs are intended strictly for in-vitro research, laboratory use, and educational purposes only. They are:

• Not approved by the FDA for human or veterinary use
• Not intended for diagnostic, therapeutic, or medicinal purposes
• Not to be used as food, food additives, drugs, cosmetics, or household chemicals
• Not to be administered to humans or animals under any circumstances
• Not to be resold, repackaged, or redistributed for any non-research purpose

By purchasing from Ascend Labs, you affirm that you understand and agree to these restrictions. Any misuse of products is solely the responsibility of the purchaser, and the purchaser assumes all liability arising from such misuse.

3. Eligibility

You must be at least 21 years of age to use this Site or purchase products from Ascend Labs. By using this Site, you represent and warrant that you are at least 21 years old and possess the legal authority to enter into these Terms. You further represent that you are a qualified researcher, laboratory professional, academic institution, or entity engaged in lawful scientific research.

4. Products & Descriptions

Ascend Labs endeavors to provide accurate product descriptions, specifications, and imagery. However, we do not warrant that product descriptions or other content on the Site are error-free, complete, or current. All product specifications, including purity percentages, are based on the most recent Certificate of Analysis (COA) and may vary slightly between batches within stated tolerances.

5. Orders & Pricing

All prices are listed in US Dollars (USD) and are subject to change without prior notice. Ascend Labs reserves the right to:

• Refuse or cancel any order at our sole discretion
• Limit quantities on any order
• Correct pricing errors, even after an order has been placed
• Require additional verification before processing certain orders

An order confirmation does not constitute acceptance of your order. Your order is accepted only upon shipment of the product(s).

6. Shipping & Handling

Ascend Labs ships products via temperature-controlled cold-chain packaging to ensure product integrity. Shipping times are estimates and are not guaranteed. Risk of loss and title for all products pass to you upon delivery to the carrier. Ascend Labs is not responsible for delays caused by the carrier, customs, weather, or other events beyond our control.

7. Refunds & Returns

All sales are final once shipped. Due to the nature of research chemicals and biologics, returned products cannot be accepted for health, safety, and integrity reasons. Exceptions may be made at Ascend Labs' sole discretion for:

• Products received damaged during transit (with photographic evidence within 48 hours of delivery)
• Incorrect products shipped (verified by our fulfillment team)
• Products that failed to meet stated purity specifications (with independent COA evidence)

In qualifying cases, Ascend Labs may offer a replacement shipment or store credit. No cash refunds will be issued unless required by applicable law. A 15% restocking fee applies to all authorized refunds.

8. Affiliate Program

Ascend Labs offers an affiliate program with a 30% commission on qualifying sales. By joining the affiliate program, you agree to the following:

• Commissions are earned only on completed, non-refunded orders placed through your unique affiliate link
• A 30-day cookie window applies to track referrals
• Self-referrals (purchasing through your own affiliate link) are prohibited and will result in account termination
• False or misleading advertising of Ascend Labs products is strictly prohibited
• Affiliates may not make therapeutic, medical, or health claims about any Ascend Labs product
• Ascend Labs reserves the right to modify commission rates, terminate affiliate accounts, or change program terms at any time with 30 days' written notice
• Commissions are paid monthly on the 1st of the following month, subject to a minimum payout threshold of $50 USD

9. Intellectual Property

All content on this Site — including but not limited to text, graphics, logos, images, product descriptions, data compilations, and software — is the property of Ascend Labs or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from this Site without prior written consent from Ascend Labs.

10. Privacy & Data

Ascend Labs collects and processes personal data in accordance with our Privacy Policy (Section 33). By using this Site, you consent to the collection, use, and sharing of your information as described therein. We collect only information necessary to process orders, improve our services, and communicate with you. We do not sell personal data to third parties.

11. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ASCEND LABS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ASCEND LABS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM ASCEND LABS OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ASCEND LABS AND ITS PARENT ENTITIES, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, CONTRACTORS, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, THE "ASCEND LABS PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, REVENUE, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the Site or products
• Any unauthorized access to or alteration of your data
• Any misuse of products purchased from Ascend Labs
• Any third-party content or conduct on the Site
• Any personal injury, bodily harm, or property damage of any nature resulting from your access to or use of our products
• Any errors, mistakes, or inaccuracies in content
• Any interruption or cessation of transmission to or from the Site

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE ASCEND LABS PARTIES EXCEED THE LESSER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO ASCEND LABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN ASCEND LABS AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. IN SUCH JURISDICTIONS, THE EXCLUSIONS AND LIMITATIONS SET FORTH ABOVE SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless the Ascend Labs Parties from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or related to: (a) your use of the Site; (b) your purchase, possession, handling, storage, transport, or use of any products; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; (e) your violation of any rights of a third party; (f) any claim that your use of products caused injury or damage to any person or entity; or (g) any misrepresentation made by you. This indemnification obligation shall survive the termination of these Terms and your use of the Site.

14. Assumption of Risk

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SITE AND PURCHASE OF ANY PRODUCTS IS AT YOUR SOLE AND EXCLUSIVE RISK. You voluntarily assume all risks associated with the purchase, handling, storage, transport, and use of research chemicals and peptides, including but not limited to:

• Risks arising from improper storage, handling, or use of products
• Risks arising from interaction with other chemicals, substances, or compounds
• Risks arising from the inherent nature of research chemicals
• Risks arising from the use of products for any purpose not expressly authorized by Ascend Labs
• Risks arising from failure to follow proper laboratory safety protocols

You acknowledge that Ascend Labs has made no representations or warranties regarding the safety of products for any purpose other than authorized in-vitro research use, and you accept full responsibility for any and all consequences arising from the purchase, possession, or use of products.

15. Mandatory Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and Ascend Labs agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any products purchased from Ascend Labs (collectively, "Disputes") shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. There is no judge or jury in arbitration, and court review of an arbitration award is limited.

The arbitration shall be conducted by a single arbitrator in the State of Delaware. The arbitrator shall apply the laws of the State of Delaware consistent with the Federal Arbitration Act (9 U.S.C. §§ 1–16). The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Each party shall bear its own costs and attorneys' fees. If the arbitrator determines that your claim was frivolous or brought for an improper purpose, you agree to reimburse Ascend Labs for all fees and costs associated with the arbitration.

Exceptions: Either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits. Ascend Labs may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

Opt-Out: You may opt out of this arbitration provision by sending written notice to legal@ascendlabs.com within 30 days of your first use of the Site or first purchase. The notice must include your full legal name, mailing address, and a clear statement that you wish to opt out of the arbitration clause. If you do not opt out within the 30-day period, you shall be bound by this arbitration provision.

16. Class Action Waiver

YOU AND ASCEND LABS AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING.

The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If any court or arbitrator determines that this class action waiver is void or unenforceable for any reason, or that arbitration can proceed on a class basis, then the arbitration provision in Section 15 shall be deemed null and void in its entirety, and the parties shall be deemed to have NOT agreed to arbitrate disputes.

You acknowledge that by agreeing to this class action waiver, you are giving up your right to participate in class actions, and that this waiver is an essential and non-severable part of the arbitration agreement.

17. Waiver of Jury Trial

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY IRREVOCABLY AND UNCONDITIONALLY WAIVES THE RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCTS. THIS WAIVER APPLIES WHETHER THE DISPUTE IS RESOLVED IN COURT OR IN ANY OTHER FORUM. EACH PARTY CERTIFIES AND ACKNOWLEDGES THAT: (A) NO REPRESENTATIVE OF THE OTHER PARTY HAS REPRESENTED THAT THE OTHER PARTY WOULD NOT SEEK TO ENFORCE THIS JURY WAIVER; (B) EACH PARTY UNDERSTANDS AND HAS CONSIDERED THE IMPLICATIONS OF THIS WAIVER; (C) EACH PARTY MAKES THIS WAIVER VOLUNTARILY; AND (D) EACH PARTY HAS BEEN INDUCED TO ENTER INTO THESE TERMS BY, AMONG OTHER THINGS, THE MUTUAL WAIVERS AND CERTIFICATIONS SET FORTH IN THIS SECTION.

18. Product Liability Limitation

ASCEND LABS PRODUCTS ARE SOLD EXCLUSIVELY FOR IN-VITRO RESEARCH PURPOSES. ASCEND LABS MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE SUITABILITY, SAFETY, OR EFFICACY OF ANY PRODUCT FOR ANY PURPOSE WHATSOEVER. THE ASCEND LABS PARTIES SHALL NOT BE LIABLE UNDER ANY THEORY OF LIABILITY — INCLUDING BUT NOT LIMITED TO CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), WARRANTY, OR OTHERWISE — FOR ANY:

• Personal injury, illness, disability, or death
• Bodily harm or physical damage of any kind
• Adverse reactions, side effects, or allergic responses
• Property damage or contamination
• Economic losses, lost profits, or business interruption
• Emotional distress, pain and suffering, or mental anguish
• Environmental damage or regulatory penalties

ARISING FROM OR RELATED TO THE PURCHASE, POSSESSION, HANDLING, STORAGE, TRANSPORT, USE, OR MISUSE OF ANY ASCEND LABS PRODUCT, WHETHER OR NOT ASCEND LABS WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

19. Release of Claims

To the fullest extent permitted by applicable law, you hereby irrevocably and unconditionally release, waive, and forever discharge the Ascend Labs Parties from any and all claims, demands, causes of action, suits, damages, losses, debts, liabilities, costs, and expenses (including attorneys' fees) of every kind and nature, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, that you now have, have ever had, or may hereafter have against the Ascend Labs Parties arising out of or related to your use of the Site, your purchase or use of any products, or these Terms.

California Residents: You expressly waive the benefits of California Civil Code Section 1542, which provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." You understand that this waiver means you are giving up claims you do not yet know about.

20. Waiver of Injunctive Relief

TO THE FULLEST EXTENT PERMITTED BY LAW, IF YOU HAVE A DISPUTE WITH ASCEND LABS, YOU AGREE THAT YOUR SOLE AND EXCLUSIVE REMEDY IS MONETARY DAMAGES (SUBJECT TO THE LIMITATIONS SET FORTH IN SECTION 12). YOU HEREBY WAIVE ANY RIGHT TO SEEK OR OBTAIN INJUNCTIVE OR OTHER EQUITABLE RELIEF, INCLUDING BUT NOT LIMITED TO RESTRAINING ORDERS, PRELIMINARY INJUNCTIONS, OR PERMANENT INJUNCTIONS, AGAINST ASCEND LABS OR THE ASCEND LABS PARTIES.

21. Statute of Limitations

YOU AGREE THAT ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR ANY PRODUCTS MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE. FAILURE TO FILE WITHIN THIS PERIOD SHALL RESULT IN THE PERMANENT BARRING OF SUCH CLAIM. THIS LIMITATION APPLIES REGARDLESS OF WHETHER YOU KNEW OR SHOULD HAVE KNOWN OF THE EXISTENCE OF SUCH CLAIM.

22. Governing Law & Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration under Section 15, such dispute shall be resolved exclusively in the state or federal courts located in the State of Delaware. You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to jurisdiction and venue in such courts, including any objection based on inconvenient forum.

23. Force Majeure

Ascend Labs shall not be liable for any failure or delay in performance of its obligations under these Terms arising from or related to any event or circumstance beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemic, epidemic, fire, flood, earthquake, war, terrorism, civil unrest, labor disputes, government actions or orders, supply chain disruptions, shipping carrier delays, power outages, internet service failures, or any other force majeure event. In the event of a force majeure event, Ascend Labs' obligations shall be suspended for the duration of such event.

24. No Third-Party Beneficiaries

These Terms are for the sole benefit of you and Ascend Labs. Nothing in these Terms, whether express or implied, is intended to or shall confer upon any third party any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of these Terms.

25. Electronic Communications Consent

By using the Site or purchasing products, you consent to receive electronic communications from Ascend Labs (e.g., email, SMS, or Site notifications). You agree that all agreements, notices, disclosures, and other communications that Ascend Labs provides to you electronically satisfy any legal requirement that such communications be in writing. Your electronic acceptance of these Terms constitutes a binding agreement with the same legal force and effect as a handwritten signature.

26. Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Ascend Labs. Ascend Labs may freely assign or transfer its rights and obligations under these Terms without restriction and without notice to you. Any attempted assignment in violation of this Section shall be null and void.

27. Modifications

Ascend Labs reserves the right to update, modify, or replace any part of these Terms at any time. Changes will be effective upon posting to the Site. Your continued use of the Site after changes constitutes acceptance of those changes. It is your responsibility to review these Terms periodically. Material changes will be indicated by updating the "Last Updated" date at the top of this page.

28. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. The invalidity of any provision shall not affect the validity of the remaining provisions.

29. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or policies published by Ascend Labs on the Site, constitute the entire agreement between you and Ascend Labs regarding your use of the Site and purchase of products, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site and products.
